This agreement (“Agreement”) is entered into by and between Key Image Works (“Licensor”) and Payor of services (“Licensee”) on the date of invoice.
**1. Grant of License:**
Licensor grants Licensee a non-exclusive license to use the content (“Media”) solely for advertising purposes of the agreed upon product or business.
**2. Ownership:**
All rights, title, and interest in and to the Media, including copyright and ownership, remain the exclusive property of Key Image Works. This license does not transfer any ownership rights.
**3. Usage Restrictions:**
Licensee shall not use the Media for any purpose other than advertising. Any unauthorized use, reproduction, or distribution is strictly prohibited.
**4. Duration of License:**
This license is valid for the duration of the advertising needs. Upon expiration, Licensee must cease using the Media unless a renewal agreement is reached.
**5. Compensation:**
In consideration for this license, Licensee agrees to pay the agreed-upon fee as outlined in the separate invoice provided by Key Image Works.
**6. Credit and Attribution:**
Licensee agrees to provide appropriate credit to Key Image Works wherever the Media is used, in a format specified by Licensor.
**7. Termination:**
Licensor reserves the right to terminate this license in the event of a breach by Licensee. Upon termination, all rights granted herein shall cease.
**8. Governing Law:**
This Agreement shall be governed by and construed in accordance with the laws of Arkansas.
